Terms of Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to download and use the Chips Story app on Apple-branded devices that you own or control, solely for your personal, non-commercial purposes and in accordance with Apple's Usage Rules as set out in the Apple Standard EULA.

This licence does not allow you to use the app on any device you do not own or control, and you may not distribute or make the app available over a network where it could be used by multiple devices simultaneously.

You may not:

• Reverse-engineer, disassemble, decompile, or attempt to derive the source code of the app
• Modify, adapt, translate, or create derivative works based on the app
• Rent, lease, lend, sell, sublicense, or redistribute the app
• Remove, alter, or obscure any proprietary notices in the app
• Use the app for any unlawful purpose or in violation of any applicable law or regulation
• Use the app to collect or harvest data about other users without their consent
• Attempt to gain unauthorised access to any part of the Service or its related systems
• Upload or transmit any content that is illegal, harmful, defamatory, or infringing

To use certain features of Chips Story, you must create an account using Apple Sign-In or Google Sign-In. You are responsible for maintaining the security of your account and for all activity that occurs under it.

You must be at least 18 years old to create an account. By creating an account, you confirm that you meet this requirement.

We reserve the right to suspend or terminate your account if we reasonably believe you have violated these Terms.

You retain ownership of any photos, chip counts, and tournament data you create or upload using the Service ("Your Content"). By using the Service, you grant us a limited, worldwide, royalty-free licence to store, process, and display Your Content solely to provide the Service to you.

You represent and warrant that you have all rights necessary to grant this licence and that Your Content does not violate any applicable law or infringe the rights of any third party.

For information about how Your Content (including chip stack photos) may be used for AI model training, and how to opt out, please see our Privacy Policy — Section 4. AI training use requires your separate explicit consent.

Chips Story includes and is actively developing AI-powered features, including automatic chip stack counting from photos. These features are provided on an "as available" basis and their accuracy may vary. You should always verify AI-generated counts before relying on them.

We will always obtain your explicit consent before sharing any personal data with third-party AI services. See our Privacy Policy for full details.

All rights, title, and interest in and to the Service — including but not limited to the app, its design, graphics, user interface, features, algorithms, and underlying technology — are and remain the exclusive property of Smaipa AI UG (haftungsbeschränkt) and its licensors. These Terms do not transfer any ownership rights to you.

"Chips Story," the Chips Story logo, and any other marks used in connection with the Service are trademarks of Smaipa AI UG (haftungsbeschränkt). You may not use them without our prior written consent.

The Service integrates with third-party services including Apple Sign-In, Google Sign-In, Supabase, and Mixpanel. Your use of these services is governed by their respective terms and privacy policies. We are not responsible for the practices of any third-party service provider.

The app may contain links to third-party websites or services. We do not endorse and are not responsible for the content or practices of any linked third-party sites.

If you downloaded Chips Story from Apple's App Store, the following additional terms apply and, where applicable, take precedence over other provisions in these Terms:

• Acknowledgement: These Terms are between you and Smaipa AI UG (haftungsbeschränkt) only, not Apple. Apple is not responsible for the app or its content.
• Scope of licence: You may use the app only on Apple-branded products and only as permitted by Apple's Usage Rules.
• Maintenance and support: Smaipa AI UG (haftungsbeschränkt) is solely responsible for providing maintenance and support for the app. Apple has no obligation to furnish any support services.
• Warranty: In the event the app fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation.
• Product claims: Smaipa AI UG (haftungsbeschränkt), not Apple, is responsible for addressing any claims relating to the app, including product liability, consumer protection, or intellectual property infringement claims.
• Legal compliance: You represent that you are not located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. government list of prohibited or restricted parties.
• Third-party beneficiary: Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, Apple will have the right to enforce these Terms against you as a third-party beneficiary.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy of any AI-generated chip counts or other data displayed in the app.

To the maximum extent permitted by applicable law, in no event shall Smaipa AI UG (haftungsbeschränkt), its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service, even if we have been advised of the possibility of such damages.

Our total liability to you for any claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) €50.

Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

These Terms remain in effect until terminated by you or us. You may terminate them at any time by deleting your account and uninstalling the app.

We may terminate or suspend your access to the Service immediately, without prior notice, if we reasonably believe you have materially breached these Terms, or if required to do so by law. Upon termination, your licence to use the app ends immediately.

Sections 7 (Intellectual Property), 10 (Disclaimer of Warranties), 11 (Limitation of Liability), and 13 (Governing Law) survive termination.

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions. If you are a consumer resident in the EU, you also benefit from any mandatory provisions of the law of your country of residence.

Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Frankfurt am Main, Germany, unless mandatory consumer protection laws in your jurisdiction provide otherwise.

The European Commission provides an online dispute resolution platform at ec.europa.eu/consumers/odr. We are not obligated to participate in alternative dispute resolution proceedings but will consider doing so in good faith.

We may update these Terms from time to time. We will notify you of material changes via an in-app notification or email at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Service and delete your account before the changes take effect.
